General Terms and Conditions 

Regarding Use of Dynamic VAT Management 

 

  1. Enactment and Scope of Application

These General Terms and Conditions (“General Terms”) enter into force on 05.12.2025. 

These General Terms refer exclusively to the Dynamic VAT Management software module for Business Central and LS Central and shall define its functional characteristics, usage rights, and licensing terms between: 

  1. RTS Business Solutions (hereinafter: “RTS” or “Producer”), which developed the Dynamic VAT Management solution as its own proprietary product, and
  2. You, as the end user and purchaser of the module with the right to use and update it (hereinafter: “User”).

The User acquires the right to use the Dynamic VAT Management module by entering into a User Agreement with RTS or any certified Microsoft Dynamics / LS Central partner (“Partner”). Acceptance of the User Agreement constitutes acceptance of these licensing terms. 

For clarity, “User Agreement” includes the RTS-issued offer, accepted purchase order, or similar commercial document whose acceptance creates an obligation for RTS to assign usage rights for Dynamic VAT Management. 

 

  1. Definitions

“Standard LS Central / BC product version” (“Standard Version”) means the version of LS Central or Microsoft Dynamics 365 Business Central including all standard functionalities, program code, manuals, and user documentation, produced by LS Retail and Microsoft corporation, existing at the time of entering into the User Agreement. 

“New Version” means any new version of LS Central or Microsoft Dynamics 365 Business Central, including all related manuals, program code and user documentation. 

“Dynamic VAT Management” (“DVM”) means a proprietary RTS-developed module integrated into LS Central / BC environments, providing functionalities for dynamic VAT calculation based on routes, ports, legs, destination-based tax logic, timetable rules, or manual leg changes. 

“Partner” means any Microsoft Dynamics or LS Central partner that has contractually acquired from RTS the right to resell or assign usage rights for  

“DVM upgrade” will follow the official LS Retail update roadmap as well as Microsoft’s release schedule for major versions. The corresponding updates will be delivered within a maximum of 30 days after the LS Retail or Microsoft releases become available to RTS 

For minor releases, please contact RTS to obtain confirmation that the update does not impact the “DVM” environment. 

 

 

  1. DVM Specifications

Detailed specifications of DVM functionalities are available in a separate document. 

RTS may amend functionalities and shall notify the User at least 30 days before changes take effect unless changes do not negatively impact the User. 

Supported functionalities include: 

  1. Functionalities

A 1. Dynamic VAT calculation based on destination rules for international transactions. 

A 2. Definition of multiple ports, routes, and legs for VAT determination. 

A 3. VAT adjustment via timetables, manual leg changes, or automated sources such as GPS inputs. 

A 4. Updating VAT Business Posting Groups in LS Central POS transactions.

  1. Technical Features

C 1. Developed according to Microsoft AL/BC/LS standards. 

C 2. Installation requires publishing extensions and configuration. 

 

  1. Exclusions

D 1. Local statutory requirements unrelated to dynamic VAT. 

D 2. External system integrations unless specified. 

D 3. Reports not related to VAT logic. 

D 4. Any function not explicitly listed. 

 

  1. DVM Updates

RTS updates DVM within a reasonable time after relevant technical or regulatory changes if: 

  1. a) changes relate to scope defined in Article 3,
  2. b) changes affect most business entities,
  3. c) no reasonable workaround exists,
  4. d)Comparablesolutions adopt similar changes. 

Updates may initially be partial. 

 

Users receive new versions without extra charges while licensed for: 

  • Standard Version,
  • DVM with update rights.

Updates do NOT include implementation, consulting, merging, or configuration services. 

 

  1. Intellectual Property Rights / Licensing

RTS owns all intellectual property rights to DVM and its updates. 

The User receives a non-exclusive, non-transferable, time-unlimited right to use DVM for licensed users. 

User modifications are allowed only in permitted development layers and at the User’s risk. 

Use requires an active LS Central license and a valid DVM license. 

Users must ensure all employees or external associates with access to source code sign IP protection statements. The User is liable for damages caused by non-compliance. 

 

  1. Fees

License and update fees follow the RTS price list unless otherwise agreed. 

Update fees are invoiced annually. 

Users may cancel update rights 30 days before renewal; otherwise, rights are renewed automatically. Reinstatement of updates requires payment of all missed periods. 

 

  1. DVM Services

DVM usage rights do NOT include implementation, integration, consulting, training, support, or similar services. These require a separate agreement. 

 

  1. Guarantee and Limitation of Liability

RTS will correct hidden defects in DVM during active licensing if reproducible. 

RTS is not liable for: 

  • errors caused by User or Partner modifications,
  • impact of third-party software,
  • accuracy of accounting/tax outputs,
  • data loss.

RTS is liable only for direct damage caused intentionally or by gross negligence, limited to the amount of DVM fees paid in the previous 12 months. Indirect damage and lost profit are excluded. 

 

  1. Application of RTS General Terms of Business

Where not regulated here, RTS General Terms of Business apply. In case of conflict, these DVM-specific terms prevail. 

 

  1. Governing Law and Dispute Resolution

Disputes shall be resolved by the competent court in Aarhus, Denmark. 

This Agreement is governed by the laws of the Republic of Denmark. Application of United Nations Convention on Contracts for the International Sale of Goods (CISG) is explicitly excluded.
